Role Overview
The CFO will lead all financial strategy, reporting, and capital markets activity for the parent entity and its portfolio of spinout subsidiaries. This is a hands-on, build-the-function role: you will establish the financial architecture for a multi-entity venture studio, manage the intercompany accounting framework, lead investor relations through the current $50M raise and beyond, and prepare individual spinouts for their own future fundraising events.
The ideal candidate combines startup CFO intensity with the structural sophistication needed to manage a holding company with multiple subsidiaries at varying stages of maturity.
Key Responsibilities
• Lead FP&A across the parent entity and all spinout subsidiaries, including consolidated and entity-level budgets, forecasts, and variance analysis.
• Architect and maintain the intercompany accounting framework—licensing fees, shared R&D cost allocations, and transfer pricing—in compliance with ASC 606 and relevant tax regulations.
• Serve as the primary financial counterpart to investors and board members; prepare board materials, investor updates, and fundraise-related financial models.
• Manage the current $50M fundraise process alongside the CEO, including data room preparation, due diligence responses, and term sheet negotiation support.
• Establish financial infrastructure: chart of accounts, ERP/accounting system selection, internal controls, and audit readiness for a multi-entity structure.
• Prepare individual spinouts for independent capitalization events by building standalone financial models, cap tables, and investor materials.
• Oversee cash management, treasury, and runway planning across all entities in alignment with Board-approved budgets.
• Hire and develop the finance team, including a Director of Accounting and Director of FP&A.
• Manage relationships with external auditors, tax advisors, and banking partners.
• Support commercial contract structuring—milestone payments, exclusivity fees, NRE agreements—with financial modeling and risk analysis.
Required Qualifications
• 10+ years of progressive finance experience, with at least 4 years as CFO, VP of Finance, or Controller at a venture-backed technology or healthcare company.
• Demonstrated experience managing financial operations for multi-entity structures (holding companies, venture studios, or companies with multiple subsidiaries).
• Deep expertise in ASC 606 revenue recognition, intercompany accounting, and transfer pricing.
• Proven track record leading or supporting fundraises of $25M+, including data room management, investor modeling, and due diligence.
• Experience building finance functions from early stage—ERP selection, establishing controls, and preparing for first audits.
• CPA, CFA, or MBA strongly preferred.
• Strong command of financial modeling, cap table management (Carta or equivalent), and startup unit economics.
Preferred Qualifications
• Healthcare industry experience, particularly with SaaS, medical device, or AI company financials.
• Experience preparing spinout entities for independent fundraising (carve-out financials, standalone projections).
• Familiarity with R&D tax credits and IP licensing tax strategy.
• Experience with FINRA compliance considerations for entities involved in capital advisory.
